Eight Years Later, Regulation for Whistleblower Protection in the Capital Market

The bill to regulate the protection of whistleblowers in the Capital Market is before the Parliamentary Committee on Economic Affairs, eight years after the initial European directive (2015). The bill concerns the transposition of the European directive into national law and defines the procedures for investigating and protecting whistleblowers who report violations to the Securities and Exchange Commission. The bill provides for the creation of secure communication channels, the process of monitoring reports, the protection of the whistleblower's identity, as well as information and assistance to individuals who report and may be subject to retaliation. The Legal Service clarified that the 2022 law on the protection of persons reporting violations provides that sectoral obligations from European directives, such as this one, take precedence. There was disagreement from the Ministry of Labour regarding the specific reference to the Labour Department in the bill, as it believes the directive is of a general nature and does not require a specific reference to a department. The Legal Service responded that cooperation with any relevant authority to protect employees is provided for, but the list of possible authorities cannot be exhaustive.
